Consulting Services Warranty. Delinea warrants to Customer that the Consulting Services provided by ▇▇▇▇▇▇▇ will be performed in a professional manner and in accordance with generally prevailing industry standards. Customer must give notice of any breach of this warranty within thirty (30) days from the date that the Consulting Services are completed, as provided in the Project Authorization applicable to the Consulting Services engagement. In such event, at Delinea’s option, Delinea shall (a) use commercially reasonable efforts to re-perform the Consulting Services in a manner that conforms to the warranty, or (b) refund to Customer the fees paid by Customer to Delinea for the nonconforming Consulting Services. The foregoing shall constitute the exclusive remedy of Customer, and Delinea’s entire liability, with respect to any breach of this Section 7.2.

Consulting Services Warranty. IR warrants the Consulting Services will be performed in a timely and professional manner and otherwise in material accordance with each SOW; IR warrants it will, at its own expense and as its sole obligation and the Licensee’s exclusive remedy for any breach of this Consulting Services Warranty, use commercially reasonable efforts to correct any reproducible material problem that is a result of deficiencies in the Consulting Services provided hereunder, as reported to IR by Licensee in writing during the Consulting Services Warranty Period.

Consulting Services Warranty. In regard to Consulting Services only, Box warrants that: (a) Box and any Box Personnel that provides and performs Consulting Services hereunder has the necessary knowledge, skills, experience, qualifications, and resources to provide and perform the Consulting Services; and (b) the Consulting Services will be performed for and delivered to Customer in a professional and workmanlike manner. Consulting Services Warranty. (a) In regard to Consulting Services only, we represent and warrant to you: (i) that we will perform Consulting Services using personnel of required skill, experience and qualifications and in a professional and workmanlike manner in accordance with commercially reasonable industry standards for similar services and will devote adequate resources to meet our obligations under the applicable Statement of Work. (ii) that the Consulting Services will conform in all material respects with the requirements or specifications stated in the applicable Statement of Work. (b) You acknowledge that GiveCentral's ability to successfully perform Consulting Services depends on your cooperation with us in matters relating to the Consulting Services and you agree to appoint an employee to serve as the primary contact with respect to matters having to do with the applicable Statement of Work. You agree to respond promptly to any GiveCentral request to provide direction, information, approvals, authorizations, or decisions that are reasonably necessary for us to perform the Consulting Services for you. (c) If, through no fault of yours, the Consulting Services do not conform with the foregoing warranty, and you notify us in writing within 14 days of GiveCentral's delivery of the Consulting Services, we will re-perform the non-conforming portions of the Consulting Services at no additional charge to you. If GiveCentral is unable to cure the defect in the Consulting Services with 30 days after we receive your notice of the defect, we will refund any fees paid for the Consulting Services.

Consulting Services Warranty. For ninety (90) days from the applicable delivery, Accela warrants that Consulting Services shall be performed in a professional and workmanlike manner. As Customer’s sole and exclusive remedy and Accela’s entire liability for any breach of the foregoing warranty, Accela will use commercially reasonable efforts to (a) re-perform the Consulting Services in a compliant manner; or, after making all commercially reasonable attempts to do the foregoing, (b) refund the fees paid for the non-compliant Consulting Services.

Consulting Services Warranty. Idaptive warrants to Customer that the Consulting Services provided by Idaptive will be performed in a professional manner and in accordance with generally prevailing industry standards. Customer must give notice of any breach of this warranty within thirty (30) days from the date that the Consulting Services are completed, as provided in the Project Authorization applicable to the Consulting Services engagement. In such event, at Idaptive’s option, Idaptive shall (a) use commercially reasonable efforts to re-perform the Consulting Services in a manner that conforms to the warranty, or (b) refund to Customer the fees paid by Customer to Idaptive for the non-conforming Consulting Services. The foregoing shall constitute the exclusive remedy of Customer, and Idaptive’s entire liability, with respect to any breach of this Section 7.2.

Consulting Services Warranty. ActiveNav warrants that, for a period of 30 days from delivery, it has performed the Consulting Services in conformance with generally accepted practices within the software services industry. Customer must notify ActiveNav of any breach of this warranty no later than 30 days after delivery of the Services. CUSTOMER'S EXCLUSIVE REMEDY AND ACTIVENAV'S ENTIRE LIABILITY UNDER THIS WARRANTY WILL BE FOR ACTIVENAV TO RE- PERFORM ANY NON-CONFORMING PORTION OF THE CONSULTING SERVICES, OR IF ACTIVENAV CANNOT REMEDY THE BREACH, THEN REFUND THE PORTION OF THE FEE ATTRIBUTABLE TO SUCH NON-CONFORMING PORTION OF THE SERVICES. THIS WARRANTY WILL NOT APPLY TO THE EXTENT CUSTOMER, ITS CONTRACTORS, OR AGENTS HAVE MODIFIED ANY ITEM.

Consulting Services Warranty. Centrify warrants to Customer that the Consulting Services provided by Centrify will be performed in a professional manner and in accordance with generally prevailing industry standards. Customer must give notice of any breach of this warranty within thirty (30) days from the date that the Consulting Services are completed, as provided in the Project Authorization applicable to the Consulting Services engagement. In such event, at Centrify’s option, Centrify shall (a) use commercially reasonable efforts to re- perform the Consulting Services in a manner that conforms to the warranty, or (b) refund to Customer the fees paid by Customer to Centrify for the nonconforming Consulting Services. The foregoing shall constitute the exclusive remedy of Customer, and Centrify’s entire liability, with respect to any breach of this Section 7.2.>
