Consummation of the Merger Transactions. The Closing (as defined in the Merger Agreement) of the Merger Transactions shall have occurred pursuant to the terms of the Merger Agreement (the date of such occurrence, the “Closing Date”) on or prior to 5:00 p.m. (New York City time) on November 30, 2009 (or such later date as BofA may agree in writing, in which case BofA shall be entitled to adjust the Component Unwind Date for Component 2).
