Common use of Continuation of Indemnity Clause in Contracts

Continuation of Indemnity. All agreements and obligations of the Corporation contained herein shall continue during the period Indemnitee is a director or officer of the Corporation (or is or was serving at the request of the Corporation as a director, officer, employee or agent of another corporation, partnership, joint venture, trust, limited liability company or other enterprise) and shall continue thereafter so long as Indemnitee shall be subject to any possible Proceeding (notwithstanding the fact that Indemnitee has ceased to serve the Corporation).

Continuation of Indemnity. All agreements and obligations of the Corporation contained herein shall continue during the period Indemnitee is a director director, officer, employee, agent, or officer advisor of the Corporation (or is or was serving at the request of the Corporation as a director, officer, employee employee, agent, or agent advisor of another corporation, partnership, joint venture, trust, limited liability company company, or other enterprise) and shall continue thereafter so long as Indemnitee shall be subject to any possible Proceeding (notwithstanding the fact that Indemnitee has ceased to serve the Corporation)Indemnifiable Matter.

Continuation of Indemnity. All agreements and obligations of the Corporation Company contained herein shall continue during the period the Indemnitee is a director or officer of the Corporation Company (or is or was serving at the request of the Corporation Company as a director, officer, employee or agent of another corporation, partnership, joint venture, trust, limited liability company or other enterprisean Affiliate Indemnitee) and shall continue thereafter so long as the Indemnitee shall be subject to any possible Proceeding (notwithstanding by reason of the fact that the Indemnitee has ceased was a director or officer of the Company or was serving in any other capacity referred to serve the Corporation)herein.

Continuation of Indemnity. All agreements and obligations of the Corporation contained herein shall continue during the period Indemnitee is a director or officer of the Corporation (or is or was serving at the request of the Corporation as a director, officer, employee or agent of another corporation, partnership, joint venture, trust, limited liability company or other enterprisean Affiliate Indemnitee) and shall continue thereafter so long as Indemnitee shall be subject to any possible Proceeding (notwithstanding by reason of the fact that Indemnitee has ceased was a director, officer or employee of the Corporation or was serving in any other capacity referred to serve the Corporation)herein.

Continuation of Indemnity. All agreements and obligations of the Corporation contained herein shall continue during the period Indemnitee is a an independent or non-independent director or officer of the Corporation (or is serving at the request of the Corporation as a director or officer of any other entity of the Corporation, and shall continue thereafter with respect to any possible claims based on the fact that Indemnitee was an independent or non-independent director or officer of the Corporation or was serving at the request of the Corporation as a director, officer, employee director or agent officer of another corporation, partnership, joint venture, trust, limited liability company or any other enterprise) and shall continue thereafter so long as Indemnitee shall be subject to any possible Proceeding (notwithstanding the fact that Indemnitee has ceased to serve the Corporation)entity.

Continuation of Indemnity. All agreements and obligations of the Corporation contained herein shall continue during the period the Indemnitee is a director or officer officer, as the case may be, of the Corporation (or is or was serving at the request of the Corporation as a director, officer, employee or agent of another corporation, partnership, joint venture, trust, limited liability company or other enterprisean Affiliate Indemnitee) and shall continue thereafter so long as the Indemnitee shall be subject to any possible Proceeding (notwithstanding by reason of the fact that the Indemnitee has ceased was a director or officer of the Corporation or was serving in any other capacity referred to serve the Corporation)herein.

All agreements and obligations of the Corporation Company contained herein shall continue during the period Indemnitee is a director or and/or officer of the Corporation Company (or is or was serving at the request of the Corporation Company as a director, officer, employee or agent of another corporation, partnership, joint venture, trust, limited liability company or other enterprise) and shall continue thereafter so long as Indemnitee shall be subject to any possible Proceeding (notwithstanding the fact that Indemnitee has ceased to serve the Corporation)Proceeding.

All agreements and obligations of the Corporation Company contained herein shall continue during the period Indemnitee is a director or officer of the Corporation Company (or is or was serving serving, at the request of the Corporation as a directorCompany, officer, employee or agent of another corporation, partnership, joint venture, trust, limited liability company or other enterpriseEnterprise in any Capacity) and shall continue thereafter so long as Indemnitee shall be subject to any possible Proceeding (indefinitely notwithstanding the fact that Indemnitee has ceased to serve as a director or officer of the Corporation)Company or to serve such other Enterprise.

Continuation of Indemnity. All agreements and obligations of the Corporation contained herein in this Agreement shall continue during the period the Indemnitee is a director director, officer or officer executive employee of the Corporation (or is or was serving at the request of the Corporation as a directorserves in any other capacity referred to in Section 1(a) hereof, officer, employee or agent of another corporation, partnership, joint venture, trust, limited liability company or other enterprise) and shall continue thereafter so long as the Indemnitee shall be subject to any possible Proceeding (notwithstanding claim or threatened, pending or completed action, suit or proceeding, whether civil, criminal or investigative, by reason of the fact that the Indemnitee has ceased to serve the Corporation)served in any such capacity.

Continuation of Indemnity. All agreements and obligations of the Corporation contained herein shall continue during the period the Indemnitee is a director or and/or officer of the Corporation (or is or was serving at the request of the Corporation as a director, officer, employee or agent of another corporation, partnership, joint venture, trust, limited liability company or other enterprisean Affiliate Indemnitee) and shall continue thereafter so long as the Indemnitee shall be subject to any possible Proceeding (notwithstanding by reason of the fact that the Indemnitee has ceased to serve was a director or officer of the Corporation)Corporation or was serving as such an Affiliate Indemnitee.

All agreements and obligations of the Corporation Companies contained herein shall continue during the period that Indemnitee is a director or officer of the Corporation any Company (or is or was serving at the request of the Corporation any Company as a director, officer, employee or agent of another corporation, partnership, joint venture, trust, limited liability company or other enterpriseany Enterprise) and shall continue thereafter so as long as Indemnitee shall be subject to any possible Proceeding (notwithstanding the fact that Indemnitee has ceased to serve as an officer or director of the CorporationCompanies or any Enterprise).

Continuation of Indemnity. All agreements and obligations of the Corporation Company contained herein shall continue during the period Indemnitee is a director or officer of the Corporation Company (or is or was serving at the request of the Corporation Company as a director, officer, employee or agent of another corporation, partnership, joint venture, trust, limited liability company or any other enterprise) and shall continue thereafter thereafter, so long as Indemnitee shall be subject to any possible Proceeding (notwithstanding claim or threatened, pending or completed action, suit or proceeding, whether civil, criminal or investigative, by reason of the fact that Indemnitee has ceased was a director of the Company or serving in any other capacity referred to serve the Corporation)herein.

All agreements and obligations of the Corporation contained herein shall continue during the period Indemnitee is a director director, officer, employee or officer other agent of the Corporation (or is or was serving at the request of the Corporation as a director, officer, employee or other agent of another corporation, partnership, joint venture, trust, limited liability company employee benefit plan or other enterprise) and shall continue thereafter so long as Indemnitee shall be subject to any possible Proceeding (notwithstanding proceeding, by reason of the fact that Indemnitee has ceased was serving in the capacity referred to serve the Corporation)herein.

Continuation of Indemnity. All agreements and obligations of the Corporation Company contained herein shall continue during the period the Indemnitee is a an officer and/or director or officer of the Corporation Company (or is or was serving at the request of the Corporation Company as a director, officer, employee or agent of another corporation, partnership, joint venture, trust, limited liability company or other enterprisean Affiliate Indemnitee) and shall continue thereafter so long as for a period of ten years from the date the Indemnitee shall be subject to any possible Proceeding (notwithstanding the fact that Indemnitee has ceased ceases to serve as an officer and/or director of the CorporationCompany or ceases to serve as an Affiliate Indemnitee (whichever is later).

Continuation of Indemnity. All agreements and obligations of the Corporation contained herein commenced on the date on which Indemnitee’s directorship or employment as an officer with the Corporation commenced and shall continue during the period Indemnitee is a director or officer of the Corporation (or is or was serving at the request of the Corporation as a director, officer, employee or agent of another corporation, partnership, joint venture, trust, limited liability company company, or other enterprise) and shall continue thereafter so long as Indemnitee shall be subject to any possible Proceeding (notwithstanding the fact that Indemnitee has ceased to serve the Corporation)Proceeding.

Continuation of Indemnity. All agreements and obligations of the Corporation contained herein commenced on the date on which Indemnitee’s directorship, service as an Advisory Member or employment as an Officer with the Corporation commenced and shall continue during the period Indemnitee is a director director, Officer or officer Advisory Member of the Corporation (or is or was serving at the request of the Corporation as a director, officer, employee or agent of another corporation, partnership, joint venture, trust, limited liability company company, or other enterprise) and shall continue thereafter so long as Indemnitee shall be subject to any possible Proceeding (notwithstanding the fact that Indemnitee has ceased to serve the Corporation)Proceeding.

Continuation of Indemnity. All agreements and obligations of the Corporation Company contained herein shall continue during the period Indemnitee is a director or officer of the Corporation Company or any affiliate thereof (or is or was serving at the request of the Corporation Company as a director, officer, employee or agent of another corporation, partnership, joint venture, trust, limited liability company trust or other enterprise) and shall continue thereafter so long as Indemnitee shall be subject to any possible Proceeding enterprise (notwithstanding collectively, the fact that Indemnitee has ceased to serve the Corporation).9

Continuation of Indemnity. All agreements and obligations of the Corporation contained herein shall continue during the period Indemnitee is a director or and/or officer of the Corporation (or is or was serving at the request of the Corporation as a director, officer, employee or agent of another corporation, partnership, joint venture, trust, limited liability company or other enterprisean Affiliate Indemnitee) and shall continue thereafter so long as Indemnitee shall be subject to any possible Proceeding (notwithstanding by reason of the fact that Indemnitee has ceased was a director, officer or employee of the Corporation or was serving in any other capacity referred to serve the Corporation)herein.

All agreements and obligations of the Corporation contained herein shall continue during the period the Indemnitee is a director or officer Director of the Corporation (or is or was serving at the request of the Corporation as a director, officer, employee or agent of another corporation, partnership, joint venture, trust, limited liability company or other enterprise) and shall continue thereafter so long as the Indemnitee shall be subject to any possible Proceeding (notwithstanding claim or threatened, pending or completed action, suit or proceeding, whether civil, criminal or investigative, by reason of the fact that the Indemnitee has ceased to serve was a Director of the Corporation)Corporation or a Designated Director.

Continuation of Indemnity. All agreements and obligations of the Corporation ------------------------- Company contained herein shall continue during the period the Indemnitee is a an officer and/or director or officer of the Corporation Company (or is or was serving at the request of the Corporation Company as a director, officer, employee or agent of another corporation, partnership, joint venture, trust, limited liability company or other enterprisean Affiliate Indemnitee) and shall continue thereafter so long as for a period of five years from the date the Indemnitee shall be subject to any possible Proceeding (notwithstanding the fact that Indemnitee has ceased ceases to serve as an officer and/or director of the CorporationCompany or ceases to serve as an Affiliate Indemnitee (whichever is later).

Continuation of Indemnity. All agreements and obligations of the Corporation contained herein shall continue during the period Indemnitee is a director director, officer, employee or officer other agent of the Corporation (or is or was serving at the written request of the Corporation as a director, officer, employee or other agent of another corporation, partnership, joint venture, trust, limited liability company employee benefit plan or other enterpriseCorporation) and shall continue thereafter so long as Indemnitee shall be subject to any possible Proceeding (notwithstanding the fact that Indemnitee has ceased to serve the Corporation).any

All agreements and obligations of the Corporation contained herein shall continue during the period Indemnitee is a director director, officer, trustee, employee or officer agent of the Corporation (or while a director, officer, trustee, employee or agent of the Corporation, Indemnitee is or was serving at the request of the Corporation as a director, officer, trustee, employee or agent of another corporation, partnership, joint venture, trust, limited liability company or other enterprise) and shall continue thereafter so long as Indemnitee shall be subject to any possible Proceeding (notwithstanding the fact that Indemnitee has ceased to serve the Corporation).

Continuation of Indemnity. All agreements and obligations of the Corporation contained herein in this Agreement shall continue during the period the Indemnitee is a director director, officer, employee or officer agent of the Corporation (or is or was serving at the request of the Corporation as a director, officer, employee or agent of another corporation, partnership, joint venture, trust, limited liability company trust or other enterprise) ), and shall continue thereafter so long as the Indemnitee shall be subject to any possible Proceeding (notwithstanding action by reason of the fact that the Indemnitee has ceased was a director or officer of the Corporation or serving in any other capacity referred to serve the Corporation)in this Agreement.

Continuation of Indemnity. All agreements and obligations of the Corporation contained herein shall continue during the period Indemnitee is shall serve as a director or officer of the Corporation (or is or was serving at the request of the Corporation as a director, officer, employee or agent of another corporation, partnership, joint venture, trust, limited liability company or other enterprise) and shall continue thereafter so long as Indemnitee shall be subject to any possible Proceeding (notwithstanding claim or threatened, pending or completed action, suit or proceeding, whether, civil, criminal or investigative, by reason of the fact that Indemnitee has ceased to serve was a director or officer of the Corporation)Corporation or served at the request of the Corporation in any capacity in any other corporation, partnership, joint venture, trust, employee benefit plan or other enterprise.

Continuation of Indemnity. All agreements and obligations of the Corporation Partnership and the Company contained herein shall continue during the period Indemnitee is a director or officer of the Corporation Partnership or the Company (or is or was serving at the request of the Corporation Partnership or the Company as a director, officer, employee or agent of another corporation, partnership, joint venture, trust, limited liability company or other enterprise) and shall continue thereafter so long as Indemnitee shall be subject to any possible Proceeding (notwithstanding the fact that Indemnitee has ceased to serve the CorporationPartnership or the Company).

All agreements and obligations of the Corporation contained herein shall continue during the period the Indemnitee is a director or officer Director of the Corporation (or is or was serving at the request of the Corporation as a director, officer, employee or agent of another corporation, partnership, joint venture, trust, limited liability company or other enterprise) and shall continue thereafter so long as the Indemnitee shall be subject to any possible Proceeding claim or threatened, pending or completed action, suit or proceeding, whether civil, criminal or investigative (notwithstanding including an action by or in the right of the Corporation), by reason of the fact that the Indemnitee has ceased to serve was a Director of the Corporation)Corporation or a Designated Director.

Continuation of Indemnity. All agreements and obligations of the Corporation contained herein shall continue during the period Indemnitee is shall serve as a director or officer of the Corporation (or is or was serving at the request of the Corporation as a director, officer, employee or agent of another corporation, partnership, joint venture, trust, limited liability company or other enterprise) subsidiary thereof and shall continue thereafter so long as Indemnitee shall be subject to any possible Proceeding (notwithstanding claim or threatened, pending or completed action, suit or proceeding, whether, civil, criminal or investigative, by reason of the fact that Indemnitee has ceased to serve was a director or officer of the Corporation)Corporation or subsidiary or served at the request of the Corporation in any capacity in any other corporation, partnership, joint venture, trust, employee benefit plan or other enterprise.

Continuation of Indemnity. All agreements and obligations of the Corporation contained herein shall continue during the period the Indemnitee is a director or officer Director and/or Officer of the Corporation (or is or was serving at the request of the Corporation as a director, officer, employee or agent of another corporation, partnership, joint venture, trust, limited liability company or other enterprise) and shall continue thereafter so long as the Indemnitee shall be subject to any possible Proceeding claim or threatened, pending or completed action, suit or proceeding, whether civil, criminal or investigative (notwithstanding including an action by or in the right of the Corporation), by reason of the fact that the Indemnitee has ceased to serve was a Director and/or Officer of the Corporation)Corporation or a Designated Director.
