Continue to Manufacture. During the Term, Supplier will continue to manufacture and deliver the Component Parts for each Customer in accordance with the terms of the applicable Purchase Order. Supplier agrees to notify a Customer of any threat to continued timely shipment of such Customer promptly upon learning of that threat. Supplier will allocate its capacity and resources equitably among the Customers, with no one Customer receiving priority allocation. For the avoidance of doubt, Supplier will not reject or terminate any Purchase Order with the Customers during the Term, and any such rejection or termination will cause an Event of Default as to the affected Customer pursuant to Section 12(b) hereof. The Supplier also agrees not to spend or transfer any funds provided by Customers, nor any of the proceeds of Supplier’s approved debtor-in-possession financing, to Supplier’s non-North American affiliates during the Term.
Continue to Manufacture. Supplier will continue to manufacture and deliver Component Parts in accordance with the Purchase Contracts and related releases and production schedules. Supplier will immediately notify a Customer and Agent Bank in writing of any interruption, delay, or threat of any interruption or delay, to its timely manufacture and/or delivery of Component Parts for such Customer upon learning of such interruption, delay or threat.

Supplier will allocate its capacity and resources equitably among all of its customers, with no one customer receiving priority allocation. For the avoidance of doubt, Supplier will not reject or terminate any Purchase Order with the Customer during the Term, and any such rejection or termination will cause an Event of Default pursuant to Section 12(b) hereof. The Supplier also agrees that during the Term and prior to the Closing Date, it will not spend or transfer funds provided by Customer in accordance with this Agreement to other regions in which Supplier operates other than the Brazil region.

Examples include, but are not limited to, alcohol pads, bandages, wraps or pill holders. • Off-label use of prescription drugs except as described in Experimental or Investigational Services in Section 3; • Prescribed weight-loss drugs. • Replacement of prescription drugs resulting from a lost, stolen, broken or destroyed prescription order or refill. • Therapeutic devices and appliances, including hypodermic needles and syringes except when used to administer insulin. • Prescription drugs, therapeutic equivalents, or any other pharmaceuticals used to treat sexual dysfunctions. • Vitamins, unless specifically listed as a covered healthcare service. • A prescription drug refill greater than the refill number authorized by your physician, more than a year from the date of the original prescription, or limited by law. • Long acting opioids and other controlled substances, nicotine replacement therapy, and specialty prescription drugs when purchased from a mail order pharmacy. • Prescription drugs and specialty prescription drugs when the required prescription drug preauthorization is not obtained. • Certain prescription drugs that have an over-the-counter (OTC) equivalent. • Prescriptions filled through an internet pharmacy that is not a verified internet pharmacy practice site certified by the National Association of Boards of Pharmacy. • Illegal drugs, including medical marijuana, which are dispensed in violation of state and/or federal law. • Services of a nurse's aide. • Services of a private duty nurse: o when the primary duties are limited to bathing, feeding, exercising, homemaking, giving oral medications or acting as companion or sitter; o after the caregiver or patient have demonstrated the ability to carry out the plan of care; o provided outside the home. Examples include at school, or in a nursing or assisted living facility; o that are duplication or overlap of services.
