Continued Compliance with Applicable Law. Each Loan Party shall conduct its business in a lawful manner and in material compliance with all applicable Laws; shall maintain in good standing all licenses and organizational or other qualifications reasonably necessary to its business and existence; and shall not engage in any business not authorized by and not in accordance with its Organizational Documents and other governing documents.
