Continued Services. On or after the giving of notice of termination and during any notice period, UNTHSC shall be entitled to such full-time Services of Physician as UNTHSC may reasonably require, and UNTHSC, in its sole discretion, shall specifically have the right to terminate the active Services of Physician at the time such notice is given and to pay to Physician the compensation due to Physician under Section above for the duration of the notice period. In the event of termination, neither party shall have any further obligation hereunder, except for: obligations accruing prior to the date of termination; obligations, promises, or covenants contained herein which are expressly made to extend beyond the term of this Agreement; and obligations which by their nature would survive termination. Following any notice of termination of employment, given by either party, when applicable, Physician shall fully cooperate with UNTHSC in all matters relating to the completion of Physician’s pending work on behalf of UNTHSC and the orderly transfer of such work to other professional employees of UNTHSC. Non-Solicitation . Physician acknowledges that extensive contacts with employees of UNTHSC will occur. Accordingly, Physician agrees that, during the term of Physician’s employment and for the period of one (1) year immediately thereafter, Physician will not directly or indirectly contact any employees of UNTHSC in order to discontinue or interfere with that person’s employment relationship with UNTHSC. Covenant Not to Compete . Inducement and Investment Costs . UNTHSC and Physician recognize and acknowledge the following: UNTHSC's decision to enter into this Agreement is induced primarily because of the covenants and assurances made by Physician, including the covenants made in this Section 16; Physician is receiving substantial compensation, (including the expenditure of public funds), on account of, and as consideration for, Physician's covenant not to compete; Physician will receive the benefit of practicing medicine in an academic setting, which includes community goodwill from association with UNTHSC, exposure to training or knowledge (some of which may be proprietary); and Physician's covenant not to compete is necessary to protect UNTHSC’s goodwill and UNTHSC’s investment in the establishment of Physician’s practice at UNTHSC, including any placement fee(s) paid to recruitment firms(s), the recoupment of practice startup costs and expenses, including without limitation, recruitment travel, relocation (e.g. trips to relocate, move, temporary housing expenses, etc.), sign-on incentives, UNT|Health Clinical Salary in excess of Physician’s clinical earnings during Physician’s startup period of two years, and other initial costs (collectively, “Investment Costs”). In Physician’s first year of employment with UNTHSC, Attachment B, outlining a portion of Investment Costs incurred by UNTHSC on behalf of Physician, shall be attached to this Agreement; further Investment Costs, if any, will be calculated through the second year of Physician’s employment.
