Continuing Obligation. The Consultant agrees that if due to death or any other occurrence it becomes impossible for any principal or employee of the Consultant to render the services required under this Contract, neither the Consultant nor the surviving principals shall be relieved of any obligation to render complete performance. However, in such event, the Department may terminate this Contract if it considers the death or incapacity of such principal or employee to be a loss of such magnitude as to (1) affect the Consultant’s ability to satisfactorily complete the performance of this Contract, or (2) materially affect the evaluation of the Consultant’s qualifications.
