Common use of Continuing Responsibilities Clause in Contracts

Continuing Responsibilities. If this Agreement is terminated: a) Contractor shall complete any and all additional work necessary for the orderly filing of documents and closing of Contractor's performance of its obligations and duties under this Agreement. For services rendered in completing the work, Contractor shall be entitled to fair and reasonable compensation for the services performed by Contractor before the effective date of termination. b) Contractor, by accepting payment for completion, discharges City of all City's payment obligations and liabilities under this Agreement. c) Contractor shall deliver to the City the originals of all documents set forth in Article X within thirty calendar days of the termination date of this Agreement. Contractor shall retain copies of all records for the storage period specified in Section 10.4.
