Continuing Transaction Clause Samples

A Continuing Transaction clause defines how certain rights, obligations, or terms persist beyond the completion or termination of a specific transaction. In practice, this clause ensures that provisions such as confidentiality, indemnification, or payment obligations remain enforceable even after the main agreement or transaction has ended. Its core function is to provide ongoing protection and clarity for parties by specifying which aspects of the agreement survive, thereby preventing disputes about lingering responsibilities after the transaction concludes.
