Common use of Contract Cancellation Clause in Contracts

Contract Cancellation. (a) The State reserves the right to cancel this Contract in whole or in part without penalty, and without prior notice, if the Contractor:  Files a petition in bankruptcy, becomes insolvent, or otherwise takes action to dissolve as a legal entity  Makes an assignment for the benefit of creditors  Fails to maintain and keep in force all required insurance, permits and licenses as provided in this Contract;  Fails to maintain the confidentiality of the Authorized User’s information that is considered to be Confidential Information, or  Performs in a manner that threatens the health or safety of an Authorized User’s employee, citizen, or customer. (b) The State reserves the right to cancel this Contract in whole or in part without penalty, with thirty (30) days’ notice, if the Contractor:  Fails to follow the sales and use tax certification requirements of s. 77.66 of the Wisconsin Statutes;  Incurs a delinquent Wisconsin tax liability;  Fails to submit a non-discrimination or affirmative action plan as required herein.  Fails to follow the non-discrimination or affirmative action requirements of subch. II, Chapter 111 of the Wisconsin Statutes (Wisconsin’s Fair Employment Law); or  Becomes a state or federally debarred contractor.

(a) ‌ 6.4.1 The State reserves the right to cancel this Contract immediately in whole or in part without penalty, and without prior notice, if the Contractor:  • Files a petition in bankruptcy, becomes insolvent, or otherwise takes action to dissolve as a legal entity  • Makes an assignment for the benefit of creditors  • Fails to maintain and keep in force all required insurance, permits and licenses as provided in this Contract;  . • Fails to maintain the confidentiality of the Authorized UserState’s information that is considered to be Confidential Information, or  • Performs in a manner that threatens the health or safety of an Authorized User’s a State employee, citizen, or customer. (b) 6.4.2 The State reserves the right to cancel this Contract in whole or in part without penalty, with thirty (30) dayspenalty upon 30 Days’ notice, if the Contractor:  • Fails to follow the sales and use tax certification requirements of s. 77.66 of the Wisconsin Statutes;  • Incurs a delinquent Wisconsin tax liability;  • Fails to submit a non-discrimination or affirmative action plan as required herein.  by the Contract; • Fails to follow the non-discrimination or affirmative action requirements of subch. II, Chapter 111 of the Wisconsin Statutes (Wisconsin’s Fair Employment Law); or  • Becomes a state or federally debarred contractor. If the Contractor remedies any of the foregoing circumstances or is determined by the State in its sole discretion to be making a good-faith effort towards making such remedies within the 30-day notice period, the State will rescind the cancellation. 6.4.3 The State also reserves the right to cancel the Contract immediately in whole or in part without penalty if the Wisconsin Legislature fails to appropriate funds necessary to complete this Contract.

(a) The State DVR reserves the right to immediately cancel this Contract in whole or in part without penalty, and without prior notice, penalty if the Contractor:  • Files a petition in bankruptcy, becomes insolvent, or otherwise takes action to dissolve as a legal entity  entity; • Allows any final judgment not to be satisfied or a lien not to be disputed after a legally imposed, 30-day notice; • Makes an assignment for the benefit of creditors  Fails to maintain and keep in force all required insurance, permits and licenses as provided in this Contractcreditors;  Fails to maintain the confidentiality of the Authorized User’s information that is considered to be Confidential Information, or  Performs in a manner that threatens the health or safety of an Authorized User’s employee, citizen, or customer. (b) The State reserves the right to cancel this Contract in whole or in part without penalty, with thirty (30) days’ notice, if the Contractor:  • Fails to follow the sales and use tax certification requirements of s. 77.66 of the Wisconsin Statutes;  • Incurs a delinquent Wisconsin tax liability;  • Fails to submit a non-discrimination or affirmative action plan as required herein.  here in; • Fails to follow the non-discrimination or affirmative action requirements of subch. II, Chapter 111 of the Wisconsin Statutes (Wisconsin’s Fair Employment Law); • Is excluded from federal procurements and non-procurement programs; • Fails to maintain and keep in force all required insurance, permits and licenses as provided in this Contract; • Fails to maintain the confidentiality of DVR’s information that is considered to be Confidential Information, proprietary, or  Becomes containing Personally Identifiable Information; or • Contractor performance threatens the health or safety of a state State employee or federally debarred contractorState customer.
