The CTO shall include a detailed Scope Statement, describing tasks to be performed with a specific list of deliverables for each task, schedule of work and cost to complete the work. The schedule of work shall allow enough sufficient time for meetings with Orange County Public Works Project Manager or delegated Management staff to review the work progress, provide technical and policy direction, resolve problems and ensure adherence to the work completion schedule. C. After a project to be performed under this Contract is identified by County, County will prepare a draft CTO. A draft CTO will identify the scope of services, expected results, project deliverables, period of performance, project schedule and will designate a Project Manager. The draft CTO will be delivered to A-E for review. A-E shall return the draft CTO within ten (10) calendar days along with a cost estimate, including a written estimate of the number of hours and Contract hourly rates per staff person (including any subcontractors), any anticipated reimbursable expenses, if any, and total dollar amount.
D. CTOs may be negotiated for time and materials based on the labor and other rates set forth in Contract.
E. A-E shall not commence performance of work or services until the CTO has been approved by the County and notification to proceed has been issued by County’s Project manager. No payment will be made prior to approval or for any work performed prior to approval of the CTO.
F. No expenditures are authorized on a project and work shall not commence until a CTO for that project has been executed by County.
G. The period of performance for CTOs shall be in accordance with dates specified in the CTO. No CTO will be written which extends beyond the expiration date of this Contract.
H. The total amount payable by County for an individual CTO shall not exceed the amount agreed to in the CTO, unless authorized by amendment to the CTO.
I. If A-E fails to satisfactorily complete a deliverable according to the schedule set forth in a CTO, no payment will be made until the deliverable has been satisfactorily completed.
J. CTOs may not be used to amend the language (or the terms) of this Contract nor to exceed the scope of work under this Contract.
K. The total amount payable by County for all CTOs resulting from this Contract shall not exceed this Contract’s not-to-exceed dollar amount. It is understood and agreed that there is no guarantee, either expressed or implied that this dollar amount will be authorized under this Contract through CTO.
