Contractor and Subcontractor Submission and Required Provisions. 10.2.1. Contractor and subcontractors must hold all necessary licenses, certifications, and/or permits as required by law for the performance of the activity to be performed under this Agreement. 10.2.2. All subcontracts with Contractor must comply with 42 CFR 438.214(a) as enacted or amended. 10.2.3. Contractor must adhere to the Americans with Disabilities Act. This includes providing physical access, reasonable accommodations, and accessible equipment for enrollees with physical or mental disabilities. 10.2.4. Contractor for the provision of behavioral health services must comply with implementation of the Great Rivers Mental Health Advance Directive policy. 10.2.5. Contractor must cooperate with Quality Review Activities and provide access to their facilities, personnel, and records. 10.2.6. Contractor must provide Enrollees access to translated information and interpreter services as described in the Information Requirements section of this Agreement. 10.2.7. Contractor must require subcontractors to notify the Contractor, and the Contractor must notify Great Rivers, in the event of a change in status of any required license or certification. 10.2.8. Contractor must participate in training when requested by Great Rivers. Requests for Great Rivers to allow an exception to participation in required training must be in writing and include a plan for how the required information will be provided to targeted subcontractor staff. 10.2.8.1. Annually, all community behavioral health employees who work directly with individuals must be provided with training on safety and violence prevention topics described in RCW 49.19.030. 10.2.9. Contractor and any subcontractors must comply with state and federal non-discrimination policies, Health Insurance Portability and Accountability Act (HIPAA), and DSHS Behavioral Health Data Store Data Dictionary and Data Security Requirements. 10.2.10. Contractor must define a clear process to be used to revoke delegation, impose corrective action, or take other remedial actions if the subcontractor fails to comply with the terms of the Subcontract. 10.2.11. Contractor must require that the subcontractor correct any areas of deficiency in the subcontractor’s performance that are identified by the Contractor, Great Rivers or DSHS, as part of a subcontract review. 10.2.12.   • Contractor and Subcontractor Registration Requirements Prior to the award of the Contract or Task Order, Contractor and Contractor’s subcontractors and suppliers must register with the City’s web-based vendor registration and bid management system. The City may not award the Contract until registration of all subcontractors and suppliers is complete. In the event this requirement is not met within the time frame specified by the City, the City reserves the right to rescind the Contract award and to make the award to the next responsive and responsible proposer of bidder.

  • Use of Subservicers and Subcontractors The Company shall not hire or otherwise utilize the services of any Subservicer to fulfill any of the obligations of the Company as servicer under this Agreement or any related Reconstitution Agreement unless the Company complies with the provisions of paragraph (i) of this Subsection (f). The Company shall not hire or otherwise utilize the services of any Subcontractor, and shall not permit any Subservicer to hire or otherwise utilize the services of any Subcontractor, to fulfill any of the obligations of the Company as servicer under this Agreement or any related Reconstitution Agreement unless the Company complies with the provisions of paragraph (ii) of this Subsection (f). (i) It shall not be necessary for the Company to seek the consent of the Purchaser or any Depositor to the utilization of any Subservicer. If required by Regulation AB, the Company shall cause any Subservicer used by the Company (or by any Subservicer) for the benefit of the Purchaser and any Depositor to comply with the provisions of this Section and with Sections 2(b), 2(c)(iii), 2(c)(v), 2(d), and 2(e) of this Agreement , and to provide the information required with respect to such Subservicer under Section 2(c)(iv) of this Agreement. The Company shall be responsible for obtaining from each Subservicer and delivering to the Purchaser and any Depositor any servicer compliance statement required to be delivered by such Subservicer under Section 2(d), any assessment of compliance and attestation required to be delivered by such Subservicer under Section 2(e) and any certification required to be delivered to the Person that will be responsible for signing the Sarbanes Certification under Section 2(e) as and when required to be delivered. (ii) It shall not be necessary for the Company to seek the consent of the Purchaser or any Depositor to the utilization of any Subcontractor. If required by Regulation AB, the Company shall after engagement of such Subcontractor, promptly provide a written description of the role and function of each Subcontractor utilized by the Company or any Subservicer, specifying (A) the identity of each such Subcontractor, (B) which (if any) of such Subcontractors are Participating Entities, and (C) which elements of the Servicing Criteria will be addressed in assessments of compliance provided by each Participating Entity identified pursuant to clause (B) of this paragraph. The Company shall cause any such Participating Entity used by the Company (or by any Subservicer) for the benefit of the Purchaser and any Depositor to comply with the provisions of Section 2(e) of this Agreement. The Company shall be responsible for obtaining from each Participating Entity and delivering to the Purchaser and any Depositor any assessment of compliance and attestation required to be delivered by such Participating Entity under Section 2(e), in each case as and when required to be delivered.
