Common use of Contractor Integrity Clause in Contracts

Contractor Integrity. a. For purposes of this clause only, the words “confidential information,” “consent,” “Contractor,” “financial interest,” and “gratuity” shall have the following definitions: 1) Confidential information means information that is not public knowledge, or available to the public on request, disclosure of which would give an unfair, unethical, or illegal advantage to another desiring to contract with the Commonwealth. 2) Consent means written permission signed by a duly authorized officer or employee of the Commonwealth, provided that where the material facts have been disclosed, in writing, by prequalification, bid, proposal, or contractual terms, the Commonwealth shall be deemed to have consented by virtue of execution of this agreement.
