Contracts for Personal Services. Schedule 5.1.17 contains a complete and accurate list and description of the names and titles of and current annual base salaries or hourly rates for all current employees of each Company, together with a statement of the full amount and nature of any other remuneration, whether in cash or kind, paid to each such employee during the past three and current fiscal years and payable to each such employee in the future and the bonuses accrued for, and the vacation and severance benefits to which, each such employee is entitled. Except as set forth in Schedule 5.1.17, neither Company is a party or subject to any contract, agreement or commitment, written or oral, for or relating to personal services rendered or to be rendered to such Company, and the Assets do not include, and after the Closing will not be affected by, any such contract, agreement or commitment.
