Contractual and Regulatory Approvals. Except as specified in Schedule 3.2.2 attached hereto, the Purchaser is not under any obligation, contractual or otherwise to request or obtain the consent of any person, and no permits, licences, certifications, authorizations or approvals of, or notifications to, any federal, state, municipal or local government or governmental agency, board, commission or authority are required to be obtained by the Purchaser in connection with the execution, delivery or performance by the Purchaser of this Agreement or the completion of any of the transactions contemplated herein. Complete and correct copies of any agreements under which the Purchaser is obligated to request or obtain any such consent have been provided to the Vendor.

Contractual and Regulatory Approvals. Except for in connection with the issuance of the Ordinary Shares, Buyer is not under any obligation, contractual or otherwise, to request or obtain the consent of any Person, and no permits, licenses, certifications, authorizations or approvals of, or notifications to, any Governmental Entity are required to be obtained by Buyer in connection with the execution, delivery or performance of this Agreement or the completion of any of the transactions contemplated herein.

Contractual and Regulatory Approvals. Except as specified in Schedule 3.1(3), neither the Corporations nor the Vendors are under any obligation, contractual or otherwise, to request or obtain the consent of any person, and no permits, licences, certifications, authorizations or approvals of, or notifications to, any federal, provincial, municipal or local government or governmental agency, board, commission or authority are required to be obtained by the Corporations or the Vendors: a) in connection with the execution, delivery or performance by the Vendors or the Corporations of this agreement or the completion of any of the transactions contemplated herein; b) to avoid the loss of any permit, licence, certification or other authorization; or c) in order that the authority of the Corporations to carry on the Business in the ordinary course and in the same manner as presently conducted remains in good standing and in full force and effect as of and following the closing of the transactions contemplated hereunder. Complete and correct copies of any agreements under which the Corporations or the Vendors are obligated to request or obtain any such consent have been provided to the Purchaser.

Contractual and Regulatory Approvals. INX is not under any obligation, contractual or otherwise, to request or obtain the consent of any Person, and no permits, licenses, certifications, authorizations or approvals of, or notifications to, any Governmental Entity are required to be obtained by INX, in connection with the execution, delivery or performance by INX of this Agreement or the completion of the Securities Exchange.

Contractual and Regulatory Approvals. Except for Exchange approval, Valdy is not under any obligation, contractual or otherwise, to request or obtain the consent of any Person, and no permits, licenses, certifications, authorizations or approvals of, or notifications to any Governmental Entity are required to be obtained by Valdy, in connection with the execution, delivery or performance by Valdy of this Agreement or the completion of the Securities Exchange.

Contractual and Regulatory Approvals. The Vendor is not under any obligation, contractual or otherwise, to request or obtain the consent of any person and no permits, licenses, certifications, authorizations or approvals of, or notifications to any government or governmental agency, board, commission or authority are required to be obtained by the Vendor, i) in connection with the execution, delivery or performance by the Vendor of this Agreement or the completion of any of the transactions contemplated herein, or ii) to avoid the loss of any permit, licence, certification or other authorization relating to the Assets.

Contractual and Regulatory Approvals. Except as specified in Schedule 3.1.3 attached hereto, the Vendor is not under any obligation, contractual or otherwise, to request or obtain the consent of any person, and no permits, licences, certifications, authorizations or approvals of, or notifications to, any federal, state, municipal or local government or governmental agency, board, commission or authority are required to be obtained by the Vendor, 3.1.3.1. in connection with the execution, delivery or performance by the Vendor of this Agreement or the completion of any of the transactions contemplated herein, 3.1.3.2. to avoid the loss of any permit, licence, certification or other authorization relating to the Purchased Assets, or 3.1.3.3. in order that the authority of the Purchaser to carry out the Assumed Contracts in this ordinary course and in the same manner as presently carried out by the Vendor. Complete and correct copies of any agreements under which the Vendor is obligated to request or obtain any such consent have been provided to the Purchaser.

Contractual and Regulatory Approvals. (a) The Assignor is under no obligation, contractual or otherwise, to request or obtain the consent of, or notify any Person; (b) no permits, licences, certifications, authorizations or approvals, or notifications (collectively, "Approvals") to, or Governmental Agency are required to be obtained by the Assignor, in connection with the execution, delivery or performance by it of this Agreement or the completion of any of the transactions contemplated herein. Complete and correct copies of agreements under which the Assignor is obligated to request or obtain such Approvals have been provided to the Assignee.
