Common use of Contractual and Regulatory Approvals Clause in Contracts

Contractual and Regulatory Approvals. Except as specified in Schedule 3.1(3), neither the Corporations nor the Vendors are under any obligation, contractual or otherwise, to request or obtain the consent of any person, and no permits, licences, certifications, authorizations or approvals of, or notifications to, any federal, provincial, municipal or local government or governmental agency, board, commission or authority are required to be obtained by the Corporations or the Vendors: a) in connection with the execution, delivery or performance by the Vendors or the Corporations of this agreement or the completion of any of the transactions contemplated herein; b) to avoid the loss of any permit, licence, certification or other authorization; or c) in order that the authority of the Corporations to carry on the Business in the ordinary course and in the same manner as presently conducted remains in good standing and in full force and effect as of and following the closing of the transactions contemplated hereunder. Complete and correct copies of any agreements under which the Corporations or the Vendors are obligated to request or obtain any such consent have been provided to the Purchaser.

Except as specified in Schedule 3.1(3)E attached hereto, neither the Corporations Corporate Group nor the Vendors are Vendor (and with respect to any Trust Vendors, together with the Trustees) is under any obligation, contractual or otherwise, to request or obtain the consent of any person, and no permits, licences, certifications, authorizations or approvals of, or notifications toto or filings with, any federal, provincial, municipal or local government or governmental agency, board, commission or authority Governmental Authority are required to be obtained or made by the Corporations Corporate Group or the VendorsVendor: a(i) in connection with the execution, delivery or performance by the Vendors Vendor or the Corporations Corporation of this agreement Agreement or the completion of any of the transactions contemplated herein; b(ii) to avoid the loss of any permit, licence, certification or other authorizationPermit; or c(iii) in order that the authority of the Corporations Corporate Group to carry on the Business in the ordinary course and in the same manner as presently conducted remains in good standing and in full force and effect as of and following the closing Closing of the transactions contemplated hereunder.
