CONTRACTUAL STATUS OF THE PARTIES. 20.1 The Proponent shall be solely responsible for the payment of any person or entity employed, engaged or retained by the Proponent for the purpose of carrying out the Eligible Project or otherwise assisting it in the discharge of its obligations under this Agreement. 20.2 The Proponent shall ensure that any contract entered into by it in respect of the Eligible Project is in its own name and is in no way purports to be binding upon the City. 20.3 The Proponent acknowledges that it is not the agent or representative of the City and has no authority to make a promise, agreement or contract on behalf of the City in respect of the Eligible Project.
