Common use of Contributors Clause in Contracts

Contributors. Except as disclosed in Section 3.14(g) of the Disclosure Schedule, (i) all employees, consultants, contractors, developers, and other persons who contributed (collectively, "Contributors") in any manner to the creation of the Works, the Marks, the Copyrights, the Patents and the Trade Secrets have by operation of Law or separate written agreement assigned all of their rights, title and interests (including all Intellectual Property Rights) that may be assigned consistent with Law to the Works, the Marks, the Copyrights, the Patents and the Trade Secrets, to the Seller and/or one or more of its Subsidiaries, except in such instances as have not had and would not reasonably be expected to have, individually or in the aggregate, a Material Adverse Effect, and (ii) to the Knowledge of the Seller and its Subsidiaries, no Contributor provided a contribution to any Work, ▇▇▇▇, Copyright, Patent or Trade Secret in violation of any Law, in breach of any Contractual Obligation or other duty, or in a manner that infringes the rights, including Intellectual Property Rights, of any third party.
