A Controlled Area clause defines a specific geographic or physical space where certain activities, access, or operations are regulated under the agreement. Typically, this clause outlines the boundaries of the area, who may enter or use it, and any restrictions or security measures that apply within it. For example, it may designate a construction site, laboratory, or data center as a controlled area, limiting entry to authorized personnel only. The core function of this clause is to protect sensitive operations or assets by clearly establishing and enforcing rules for access and conduct within a designated space.
Controlled Area. No person shall operate a power or speed boat, pleasure craft or personal motorized watercraft faster than slow-no-wake in the waters of Random Lake beginning south of the swimming buoys to the south shore and from the boat landing to the east limits of the swimming area adjacent to Lakeview Park.
Controlled Area. (i) The Controlled Area is an area (such as temporary parking areas used on Match Days, open outdoor spaces, entertainment areas or arenas) determined by FIFA which is located directly adjacent to the Outer Stadium Perimeter, in which certain commercial and other activities are prohibited on Match Days and the days prior to Match Days to ensure the smooth implementation of the hosting and staging of the Matches and protect the rights of the Commercial Affiliates as set out in this Clause 4.3. (ii) The Host City shall ensure that the Controlled Area shall be included as much as possible into the organisation of the Matches and that any measures necessary to comply with the requirements for the Controlled Area as set out in Clause 4.3 and 4.4.below are taken in such manner as required by FIFA and the LOC. (iii) In particular, the Host City shall a) ensure that, to the extent permitted by applicable laws and regulations, any advertisement and other commercial identification located within the Controlled Area will be removed or fully covered; b) not grant any permits or other concessions for activities (such as for the use of the spaces or buildings for advertisements or other promotional activities) within the Controlled Area and suspends any existing permits, concessions or licenses within the Controlled Area; and c) use best efforts to discuss, in the name, and on behalf, of FIFA and the LOC, these requirements with the owners and operators of any buildings and spaces located within the Controlled Area and, to the extent necessary to ensure compliance with these requirements and to enter, at its own costs, into the respective arrangements with these owners or operators. (iv) The Host City agrees and acknowledges that the Controlled Area must comply with the following requirements on Match Days and the day before Match Days in relation to the Stadium: a) the Controlled Area must be free and clear of any outdoor advertising (in accordance with the instructions by FIFA and the LOC). The removal and coverage of the outdoor advertising may be done temporarily; b) no events or other activities may be held in any buildings and at any spaces located within the Controlled Area which in the opinion of FIFA and/or the LOC may impact on the organisation or marketing of the respective Match; and c) no public sales of food, beverages, fan items, souvenirs or similar products or other products as decided by FIFA may take place in or from any buildings, or at any spaces, l...
Controlled Area. A controlled space extending upward and outward from a specified point. This area is typically designated by a commander or director, wherein sensitive information or operations occur and requires limitations of access.
Controlled Area. Pursuant to the Lease, on any property which is both (a) now or hereafter owned or controlled in whole or in part by Landlord, or by any subsidiary, affiliate or partner of Landlord, and (b) located within a radius of three miles from any portion of the Premises, Landlord will not permit the operation of a retail or wholesale supermarket or other store, or department within a store, for the sale of food, groceries, fruit, produce, dairy products, vegetables, bakery products, meats, or delicatessen products. Provided, however, that other tenants' space in such controlled area shall be permitted to sell such items so long as no more than one thousand five hundred (1,500) square feet are used for the sale of such products.
Controlled Area. (i) The Controlled Area is located directly adjacent to the Outer Stadium Perimeter. To ensure the smooth implementation of the organisation of the Matches, the areas within the Controlled Area (such as temporary parking areas used on Match Days, open outdoor spaces, entertainment areas or arenas) shall be included as much as possible into the organisation of the Matches as required by FIFA and in accordance with this Clause 5.4. (ii) In order to fulfil the requirements set out in Clause 5.4 (iii) below, the Stadium Authority shall: a) ensure that any advertisement and other commercial identification on any facilities or infrastructure directly or indirectly owned or controlled by the Stadium Authority, which is located within the Controlled Area will be removed or fully covered; and b) not allow any third party to conduct any events or activities (such as for the use of the spaces or buildings for advertisements or other promotional activities) within the Controlled Area and suspends any rights granted to any third party. (iii) The Stadium Authority agrees and acknowledges that the Controlled Area must comply with the following requirements on Match Days and the day before Match Days in relation to the Stadium used for any Match: a) the Controlled Area must be free and clear of any outdoor advertising (in accordance with the instructions by FIFA and the LOC). The removal and coverage of the outdoor advertising may be done temporarily; b) no events or other activities may be held in any buildings and at any spaces located within the Controlled Area which in the opinion of FIFA and the LOC may impact on the organisation or marketing of the respective Match; and c) no public sales of food, beverages, fan items, souvenirs or similar products or other products as decided by FIFA may take place in or from any buildings, or at any spaces, located within the Controlled Area (in accordance with the instructions by FIFA and the LOC).
Controlled Area. So long as the Premises is being and has been continuously operated as a grocery store and so long as Tenant is controlled by SUPERVALU INC. or ▇▇▇▇▇▇▇▇▇▇▇ Foods of Bagan, Inc. or their respective affiliates, subsidiaries, and/or successors, on any property which is both (i) now or hereafter owned or controlled in whole or in part by Landlord or by an entity or person which controls, is controlled by or is under common control with Landlord, and (ii) located within a radius of three (3) miles from any portion of the Premises, Landlord will not permit the operation of a retail or wholesale supermarket or other store (in excess of 10,000 square feet), or department within a store (in excess of 10,000 square feet), for the sale of food, groceries, fruit, produce, dairy products, vegetables, bakery products, meats, or delicatessen products, provided that this restriction shall not prohibit the operation of any such store or department which is in operation on the date hereof, whether now owned or hereafter acquired by Landlord or any such store or operation which is owned by a transferee of the Premises and Landlords interest in this Lease at the time of such transfer. This restriction shall expire and be of no further force and effect upon termination of this Lease. In the event that Landlord transfers its interest in the Premises and this Lease, the foregoing restriction shall one (1) year after such transfer no longer bind the transferor Landlord or entities which control, are controlled by or are under common control with it, but shall (immediately upon such transfer) bind the transferee Landlord and entities which control, are controlled by or are under common control with it. It is agreed that for purposes of determining whether the Premises has been continuously operated as a grocery store, periods of closure due to casualty, remodeling, inventory taking and other similar temporary closures shall not be considered as disrupting the continuous operation of the grocery store. guar Guar/L.C./Indem.   • Restricted Area For purposes of this Agreement, the term “Restricted Area” shall mean the United States of America.

  • Restricted Territory Executive and Company understand and agree that Company’s business is not geographically restricted and is unrelated to the physical location of Company facilities or the physical location of any Competing Business, due to extensive use of the Internet, telephones, facsimile transmissions and other means of electronic information and product distribution. Executive and Company further understand and agree that Executive will, in part, work toward expanding Company’s markets and geographic business territories and will be compensated for performing this work on behalf of Company. Accordingly, Company has a protectable business interest in, and the parties intend the Restricted Territory to encompass, each and every location from which Executive could engage in a Competing Business in any country, state, province, county or other political subdivision in which Company has clients, employees, suppliers, distributors or other business partners or operations. If, but only if, this Restricted Territory is held to be invalid on the ground that it is unreasonably broad, the Restricted Territory shall include each location from which Executive can conduct business in any of the following locations: each state in the United States in which Company conducts sales or operations, each province within Canada in which Company conducts sales or operations, and each political subdivision of the United Kingdom in which Company conducts sales or operations. If, but only if, this Restricted Territory is held to be invalid on the grounds that it is unreasonably broad, then the Restricted Territory shall be any location within a fifty (50) mile radius of any Company office.

  • Regulated Activities The Company shall not itself, nor shall it cause, permit or allow the Bank or any other of its Subsidiaries to (i) engage in any business or activity not permitted by all applicable laws and regulations, except where such business or activity would not reasonably be expected to have a Material Adverse Effect on the Company, the Bank and/or such of its Subsidiaries or (ii) make any loan or advance secured by the capital stock of another bank or depository institution, or acquire the capital stock, assets or obligations of or any interest in another bank or depository institution, in each case other than in accordance with applicable laws and regulations and safe and sound banking practices.
