Controlling Entity. “Controlling Entity” shall mean the entity identified in the Allocation Application and on the signature page of this Allocation Agreement, as applicable, that Controls the Allocatee, and has a controlling influence over the day-to-day management and operations, including investment decisions, of the Allocatee.
