Conversion Services. This Section 2.5 of this Exhibit B describes the data conversion services Vendor shall be responsible for providing as part of the Services: Vendor shall provide support services reasonably required by any Clinic in converting from the information technology platform provided at the Service Locations to a different technology platform. These services will include, for example (but without limitation), the removal of Clinic Data from the Service Location platform, the discontinuation of other Services provided under this Agreement to the Clinic, the delivery of Clinic Data to the Clinic's new service provider in a reasonably acceptable format and medium. Conversion Services. Fiserv will convert Client's existing applicable data and/or information to the Fiserv Services. Those activities designed to transfer the processing from Client's present servicer to the Fiserv Services are referred to as "Conversion Services". Client agrees to cooperate with Fiserv in connection with Fiserv's provision of Conversion Services and to provide all necessary information and assistance to facilitate the conversion. Client is responsible for all out-of-pocket expenses associated with the Conversion Services. Fiserv will provide Conversion Services as required in connection with Fiserv Services.
Conversion Services. If Customer has been using a third party reservation system, Customer will be responsible for converting existing reservations data into the required Hosted Reservation Services format. Hosted Reservation Services file format requirements and specifications are available to Customer upon request.
Conversion Services. 3.1 During the Term, FIGSL shall provide or cause to be provided, in addition to the FIGSL Services, the following support for no extra charge except for actual out-of-pocket costs and expenses approved in advance in writing by the GEIH Services Manager:
3.1.1 FIGSL shall provide, or cause to be provided, current and reasonably available historical data related to the FIGSL Services and predecessor services thereto as reasonably required by GELS, in a manner and within a time period as mutually agreed by the parties;
3.1.2 FIGSL shall make reasonably available or cause to be made reasonably available to GELS the services of those employees, contractors and consultants of the FIGSL Group whose assistance, expertise or presence is necessary to assist GELS’ transition team in establishing a fully functioning stand-alone environment in respect of the GEIH Group Companies’ businesses and the timely assumption by GELS, or by a supplier of GELS, of the FIGSL Services; and
3.1.3 with respect to any Software or other electronic content (“Electronic Materials”) licensed to Genworth and its Affiliates under the Cross License and used to provide a GEIH Service, GELS shall make available or deliver to FIGSL a copy of such Software or Electronic Materials that are in existence and current as of the Service Termination Date for such GEIH Service, including any upgrades, updates and other modifications made to such Software and Electronic Materials since the Closing Date. Any upgrades, updates or other modifications to Software and Electronic Materials made available or delivered to the FIGSL Group pursuant to this Clause shall be deemed to be GE Intellectual Property under the Cross License and licensed to Genworth and its Affiliates pursuant to the terms of the Cross License, notwithstanding that such upgrades, updates or other modifications (x) were not used, held for use or contemplated to be used by Genworth and its Affiliates as of the Closing Date, (y) were not Controlled by GE and its Affiliates as of the Closing Date or (z) may constitute Improvements made after the Closing Date.
3.2 During the Term, GELS shall provide or cause to be provided, in addition to the GEIH Services, the following support for no extra charge except for actual out-of-pocket costs and expenses approved in advance in writing by the FIGSL Services Manager:

Conversion Services. On a mutually agreeable schedule Aurum will provide those services and instructions (“Conversion Services”) reasonably required for Customer to convert to and use the Aurum Systems. Customer will cooperate in the conversion effort and timely provide whatever information, data, clerical and office support, management decisions, approvals, and signoffs that Aurum reasonably requires. According to a plan to be developed by Customer and Aurum, Aurum will train a mutually designated group of Customer’s personnel in the proper use of the Aurum Systems to enable such personnel to train Customer’s user personnel in the use of the Aurum Systems. Customer will cooperate with Aurum in scheduling training in conjunction with Customer’s conversion to the Aurum Systems.
Conversion Services. Fiserv will provide conversion services based on the information provided by Client during the due diligence process. Following Client's initial conversion to Fiserv Services, any additional requests will be submitted to Fiserv at least 90 days prior to the required implementation date. An estimate for the additional conversion services will be provided. The implementation time for the conversion will be delayed if Client requires more than three days to approve or decline the conversion estimate. Client also acknowledges that Fiserv must approve any changes to the MICR line and/or Account Number structure for Client prior to proceeding with a conversion. Fiserv will make every reasonable attempt to convert new MICR line and/or Account Number structures. Client agrees to eliminate any non-standard MICR line and/or Account number structure as identified during the due diligence process from its daily capture service within 120 days after the initial conversion date. Client acknowledges that Fiserv may elect to charge a fee such as the Special Statements Fee listed in Exhibit B-2, for all non-standard items processed in the service. Client acknowledges that Fiserv may not be able to achieve the stated service level agreements on accounts, transactions, or services involving non-standard MICR lines and/or Account Number structures. In the event that the Account Number appearing on the statement does not equal the Account Number on the MICR line, Fiserv will not be responsible for any service level agreements relating to statement preparation and rendition. Initial Client conversion is based on the results obtained during the due diligence process. This work would include an inclearings, POD and bulk file sort pattern. In addition, it would include a single extraction program to support the transmission of a daily inclearings and POD file to a host site for processing. Sort specifications will be developed in support of statement rendition services. Standard reporting will be provided to Client to include a daily transaction report sorted in transaction and account order, recaps of transmissions and cash letters, and a daily cash report if required.
Conversion Services. Fidelity will provide BIC Conversion Services required to implement a mutually agreed upon number of Customer branch locations for the fee in Attachment 1, attached hereto. Charges for such services will be due and payable in accordance with the terms of this Schedule. Customer and Fidelity will mutually agree upon a business design and implementation plan detailing responsibilities, accountabilities, tasks and timelines. The implementation timeline will commence at contract execution and culminate with the implementation of contracted Services on the Implementation Date of the BIC Product. Customer and Fidelity will mutually agree upon any modifications to the Implementation Date of the BIC Product.
Conversion Services. Upon completion of the contemplated mutual fund reorganizations involving the Fund and Norwest Advantage Funds ("NAF"), Transfer Agent shall convert and merge the account information for SFI and NAF into one platform for the conversion fee specified in Schedule 1.3(f).
Conversion Services. 3.1.1 CONVERSION FROM L-GAS TO H-GAS. GRTgaz provides a service for converting L-gas quality to H-gas quality. For this service, GRTgaz takes off quantities of L-gas made available by the Shipper and simultaneously provides the Shipper with the equivalent Energy Content in the form of H-Gas, up to the maximum Daily Conversion Capacity subscribed by the Shipper.
Conversion Services. Aurum shall provide Conversion Services required to implement services detailed above. Customer and Aurum will develop a mutually agreeable business design and implementation plan detailing responsibilities, accountabilities, tasks and timelines for both Aurum and Customer. Customer and Aurum will determine a mutually agreeable implementation timeline that will commence at contract execution and culminate with the implementation of contracted services at the conclusion of a three (3) to four (4) month development period. Aurum and Customer agree to provide each other with reasonable access to personnel required to develop and implement the image services solution as defined in the implementation project plan.
