Conveyancing Documents. No provision contained in any conveyancing document delivered pursuant to this Agreement shall affect in any manner whatsoever any of the indemnification provisions contained herein.

Duly executed assignments and other conveyancing documents that are sufficient to convey and vest good and, in the case of owned Real Property, marketable, title to the Assets to the Buyer, free and clear of all Liens, except for Permitted Liens. Such documents shall include, but shall not be limited to, the following:
(i) Assignment and Assumption Agreement for the Assumed Contracts, substantially in the form of Exhibit 8.2
(a) annexed hereto (the "Assignment and Assumption Agreement"), and assignment agreements in recordable form for each Real Property lease (provided, however, that Seller shall have no liability to Buyer with respect to the recording or recordability of any such assignment agreements and the recording or recordability of any such assignment agreements shall not be a condition to the satisfaction of this Section 8.2(a)(i));
(ii) deeds (the "Deeds") in recordable form conveying fee simple title to all Real Property owned by Seller and used in the Businesses, subject to Permitted Liens and consistent with and subject to the representations and warranties and the indemnity limitations set forth in this Agreement;
(iii) bills of sale; and
(iv) an Assignment and Acceptance of FCC Licenses.
Conveyancing Documents. Seller shall have executed and delivered to Buyer an Assignment and Assumption ----------------------- Agreement, a ▇▇▇▇ of Sale, an Assignment of Trademarks, and a Deed or Deeds, each in a form reasonably satisfactory to Buyer.
Conveyancing Documents. The documents and instruments executed and delivered by Conexant and Newport Fab LLC to effect the Newport Fab Contribution shall be delivered to Carlyle and such documents shall be in a form reasonably acceptable to Carlyle.
Conveyancing Documents. If the Stock Election is not given, Seller shall have executed and delivered to Purchaser an Assignment and Assumption Agreement (the "Assignment and Assumption Agreement") in substantially the form of Exhibit C hereto and a ▇▇▇▇ of Sale (the "▇▇▇▇ of Sale") in substantially the form of Exhibit D hereto, and such further instruments and documents as may be reasonably requested by Purchaser in order to complete the transfer of the Assets to Purchaser.
