Common use of Coordination of Efforts Clause in Contracts

Coordination of Efforts. In order to coordinate the efforts of both Ladenburg and the Company, and to maximize the possibility of consummating a Sale during the term of this Agreement, Ladenburg shall have the sole and exclusive authority to initiate and conduct discussions with potential investors. In the event that the Company, its directors, officers, employees or shareholders receive any inquiries from or conduct any discussions with potential investors concerning the availability of the Sale, such inquiries and discussions shall be promptly referred to Ladenburg.

In order to coordinate the efforts of both Ladenburg and the Company, and to maximize the possibility of consummating a Sale Financing during the term of this Agreement, Ladenburg shall have the sole and exclusive authority to initiate and conduct discussions with potential investorsCovered Persons. In the event that the Company, its directors, officers, employees or shareholders receive any inquiries from or conduct any discussions with potential investors Covered Persons concerning the availability of the SaleFinancing, such inquiries and discussions shall be promptly referred to Ladenburg.
