Common use of Copies of Resolutions Clause in Contracts

Copies of Resolutions. Xceed shall have furnished the Company with --------------------- certified copies of resolutions duly adopted by the respective boards of directors of Xceed authorizing the execution, delivery and performance of the terms of this Agreement and all other necessary or proper corporate action to enable Xceed to comply with the terms of this Agreement.
