To avoid doubt, Adimab shall have, and retains, the sole right to file, prosecute, maintain, defend and enforce all Program Patents directed to Platform/Core Technology Improvements and all Platform/Background Patents, all at its own expense, and without any right of Merrimack to disclosure, input or commentary.
