Certified copies of the resolutions of the board of directors (or persons performing similar functions) of the Company approving each of the Note Documents to which it is or is to be a party, the issuance and sale of the Notes and the other transactions contemplated hereby and thereby and all documents evidencing other necessary corporate action with respect to each such Note Document, the issuance and sale of the Notes and the other transactions contemplated hereby and thereby.

Certified copies of the resolutions of the board boards of directors (or persons performing similar functions) of the Company and the Acquisition Subsidiary approving the Acquisition and each of the Note Documents to which it is or is to be a party, the issuance and sale of the Notes and the other transactions contemplated hereby and thereby and all documents evidencing other necessary corporate action action, including by the Other Obligors, with respect to each such Note Document, the issuance and sale of the Notes and the other transactions contemplated hereby and thereby.
