Common use of Corporate Certificates Clause in Contracts

Corporate Certificates. The Company shall have delivered to the Parent a copy of the Certificate of Incorporation of the Company, as in effect immediately prior to the Closing Date, certified by the Delaware Secretary of State, and a certificate, as of the most recent practicable date, of the Delaware Secretary of State as to the good standing of the Company.

Corporate Certificates. The Company Parent shall have delivered to the Parent Company a copy of the Certificate of Incorporation of each of the CompanyParent and the Sub, as in effect immediately prior to the Closing Date, certified by the Delaware Secretary of State, and a certificate, as of the most recent practicable date, of the Delaware Secretary of State as to the good standing of each of the CompanyParent and Sub.
