BARRA is a corporation duly organized, validly existing and in good standing under the laws of California and, subject to the approval of this Agreement and the transactions contemplated hereby, has all necessary corporate power to enter into this Agreement and the Escrow Agreement and to carry out all of the terms and provisions hereof and thereof to be carried out by it.
