Common use of Corrective Action and Notice Clause in Contracts

Corrective Action and Notice. If Customer becomes aware of any actual or threatened activity prohibited by this Agreement, Customer shall, and shall cause its Users to, immediately: (a) take all reasonable and lawful measures within their respective control that are necessary to stop the activity or threatened activity and to mitigate its effects (including, where applicable, by discontinuing and preventing any unauthorized access to the Service and permanently erasing from their systems and destroying any data to which any of them have gained unauthorized access); and (b) notify Cludo of any such actual or threatened activity.

If Customer Client becomes aware of any actual or threatened activity prohibited by this Agreement, Customer Client shall, and shall cause its Users and other personnel to, immediately: (a) take all reasonable and lawful measures within their respective control that are necessary to stop the activity or threatened activity and to mitigate its effects (including, where applicable, by discontinuing and preventing any unauthorized access to the Service Services and/or Third Party Offerings and permanently erasing from their systems and destroying any data or other Material to which any of them have gained unauthorized access); and (b) notify Cludo ShareTech of any such actual or threatened activity.

If Customer becomes aware of any actual or threatened activity prohibited by this Agreement, Customer shall, and shall cause its Authorized Users to, immediately: (a) take all reasonable and lawful measures within their respective control that are necessary to stop the activity or threatened activity and to mitigate its effects (including, where applicable, by discontinuing and preventing any unauthorized access to the Service and permanently erasing from their systems and destroying any data to which any of them have gained unauthorized access)effects; and (b) notify Cludo DGI of any such actual or threatened activity.

If Customer becomes aware of any actual or threatened activity prohibited by this Agreement, Customer shall, and shall cause its Authorized Users to, immediately: (a) take all reasonable and lawful measures within their respective control that are necessary to stop the activity or threatened activity and to mitigate its effects (including, where applicable, by discontinuing and preventing any unauthorized access to the Service Services and Provider Materials and permanently erasing from their systems and destroying any data to which any of them have gained unauthorized access); and (b) notify Cludo Provider within 48 hours of any such actual or threatened activity.

If Customer becomes aware of any actual or threatened prohibited activity prohibited by this Agreement, Customer shall, and shall cause its Authorized Users to, immediately: (a) take all reasonable and lawful measures within their respective control that are necessary to stop the activity or threatened activity and to mitigate its effects (including, where applicable, by discontinuing and preventing any unauthorized access to the Service Services and Amwell Materials and permanently erasing from their systems and destroying any data to which any of them have gained unauthorized access); and (b) notify Cludo Amwell of any such actual or threatened activity.

If In the event Customer becomes aware of any actual or threatened activity prohibited by this AgreementSection 4.10, Customer shall, and shall cause its Authorized Users to, immediately: (a) take all reasonable and lawful measures within their respective control that are necessary to stop the activity or threatened activity and to mitigate its effects (including, where applicable, by discontinuing and preventing any unauthorized access to the Service Bundled Services and permanently erasing from their systems and destroying any data to which any of them have gained unauthorized access); and (b) notify Cludo TRU of any such actual or threatened activity.
