Common use of Corruption Clause in Contracts

Corruption. The Purchaserprohibits all unlawful payments and practices and is fully committed to the elimination of corruption in its business transactions. In addition, the Purchaser prohibits facilitation payments. The Supplier shall comply with all applicable laws and regulations on corruption, bribery, unlawful business activities and extortion. The Supplier shall never make or approve an unlawful payment to anyone under any circumstances. The Supplierwarrantsthatithasnotdirectlyorindirectlypaidanycommission, feesorgrantedany rebates to any third party, employees of the Purchaser or Purchaser’s customer, or made any gifts, entertainment or any other non-monetary favours or other arrangements inviolation of Alstom policy or the law. Any breach of this Article shall be considered to be a material breach. The Suppliershall indemnify and hold harmless the Purchaser, its affiliates, officers, employeesoragents, from and against all liabilities, claims, expenses, loss and/or damage arising out of or in connection with Supplier’s breach of its obligations and/or warranties under this Article, without prejudice to any other rights or remedies the Purchasermay have, at law, under contract or otherwise.
