Common use of Cost of Substitution Clause in Contracts

Cost of Substitution. The applicant for the issue of a new Flow-Through Unit Subscription Receipt Certificate pursuant to this Section 2.8 shall bear the reasonable cost of the issue thereof and in the case of loss, destruction or theft shall, as a condition precedent to the issue thereof:‌ (i) furnish to the Corporation and to the Subscription Receipt Agent such evidence of ownership and of the loss, destruction or theft of the Flow-Through Unit Subscription Receipt Certificate to be replaced as is satisfactory to the Corporation and to the Subscription Receipt Agent in their discretion, acting reasonably; (ii) if so requested, furnish an indemnity and surety bond in amount and form satisfactory to the Corporation and to the Subscription Receipt Agent in their discretion, acting reasonably; and (iii) pay the reasonable charges of the Corporation and the Subscription Receipt Agent in connection therewith.

The applicant for the issue of a new Flow-Through Unit FT Subscription Receipt Certificate pursuant to this Section 2.8 2.7 shall bear the reasonable cost of the issue thereof and in the case of loss, destruction or theft shall, as a condition precedent to the issue thereof:‌thereof: (i) furnish to the Corporation and to the FT Subscription Receipt Agent such evidence of ownership and of the loss, destruction or theft of the Flow-Through Unit FT Subscription Receipt Certificate to be replaced as is satisfactory to the Corporation and to the FT Subscription Receipt Agent in their discretion, acting reasonably; (ii) if so requested, furnish an indemnity and surety bond in amount and form satisfactory to the Corporation and to the FT Subscription Receipt Agent in their discretion, acting reasonably; and (iii) pay the reasonable charges of the Corporation and the FT Subscription Receipt Agent in connection therewith.
