Common use of Cost of the Financing Clause in Contracts

Cost of the Financing. Cost of the Financing means all costs and expenses incurred in connection with the Financing pursuant to the indicative financing term sheet included in the RFP Submission and the Lending Agreements including without limitation all interest, fees, expense reimbursements, prepayment and breakage costs and all other costs and expenses shown in the Financial Model. For greater certainty, costs and expenses included in the Cost of the Financing shall be calculated in a commercially reasonable manner and in accordance with the Lender’s standard banking practices and the Lending Agreements and without regard to the identity of the party paying such costs and expenses and, with respect to any swap breakage costs or gains, such costs or gains shall be calculated in accordance with standard market practices.
