Costs of negotiation, preparation etc. The Borrower shall reimburse to the Lender on demand all costs, fees and expenses (including, but not limited to, legal fees and expenses) and Taxes thereon properly incurred by the Lender in connection with: (a) the negotiation, preparation and execution of this Agreement, the Master Agreement and the Finance Documents the insurance consultant’s report referred to in paragraph 4 of Part B of Schedule 2 and paragraph 12 of Part C of Schedule 2 and the foreign lawyer opinions referred to in paragraph 5 of Part B of Schedule 2 and paragraphs 13 and 9 of Part C of Schedule 2; and/or (b) the preserving or enforcing of, or attempting to preserve or enforce, any of its rights under this Agreement, the Master Agreement and the other Finance Documents.
