Costs of Settlement Administration. Within fourteen (14) calendar days of the Settlement Administrator receipt of the second payment described in section 3(a)(ii) above, the Settlement Administrator may make a payment to itself for further Notice and Administration Expenses with the written approval of Class Counsel, consistent with any orders of the Court pertaining to such costs.

The Settlement Administrator will report payment of the individual Class Member Payments and PAGA Members to all required taxing and other authorities, and requisite reporting documentation to the applicable taxing agencies, and issue Internal Revenue Service Forms 1099. The Settlement Administrator will establish a Qualified Settlement Fund ( QSF ), pursuant to U.S. Treasury Regulation Section 468B(g) of the Internal Revenue Service for the purposes of administering the Settlement. All Settlement Administration Costs shall be taken from the GSA. The Parties expect Settlement Administration Costs to not exceed $12,000.00. Any unapproved amount of Settlement Administration Costs shall be allocated to the NSA and apportioned to the Class Members as described in Paragraph 5 of this Settlement Agreement. The award of Settlement Administrator Costs in the amount sought is not a material term of this Agreement and the award of an amount less than requested by Plaintiff does not give rise to a basis to abrogate this Agreement. (“Settlement 18 Administrator”), to undertake the administration of the Settlement in this Action. The 19 administration duties include, without limitation, the following: establishing and maintaining a 20 qualified settlement account for the NSA, obtaining tax identification number(s) for Defendants 21 applicable to the Settlement, calculating the Class Member Payments, performing an initial 22 National Change of Address (NCOA) search upon receipt of the Class Member mailing 23 addresses, mailing the Class Notices, performing one skip trace on Class Notices which are 24 returned as undeliverable, reviewing and processing Requests for Exclusion, disputes, and 25 objections, mailing the Class Members Payments and tax forms to the Settlement Class 26 Members, and setting up a static website regarding the Settlement. Costs of Settlement Administration. Costs of Settlement Administration shall be borne alone by Arby’s. Amounts owed by Arby’s under this Section 5.3.2 shall be paid directly to the Settlement Administrator as agreed upon between Arby’s and the Settlement Administrator.
