COUNTERPART SIGNATURE PAGE. ▇▇▇ ▇▇▇▇rsigned hereby agrees to all the terms and provisions of the Stockholder’s Agreement dated April 4, 2008, by and among Allion Healthcare, Inc., a Delaware corporation and the former stockholders of Biomed America, Inc., a Delaware corporation (the “ Stockholder’s Agreement ”), and agrees to be bound by the terms and provisions thereof as evidenced by the execution of this Counterpart Signature Page which, together with other Counterpart Signature Pages, is hereby incorporated into the Stockholder’s Agreement.
