Counterparts; Effect of Signatures Clause Samples

The "Counterparts; Effect of Signatures" clause allows a contract to be executed in multiple copies, each of which is considered an original, and recognizes that signatures on these copies—whether physical or electronic—are legally binding. In practice, this means parties can sign separate copies of the agreement, or even sign and exchange scanned or electronically signed documents, without needing to gather in one place or sign the same physical paper. This clause facilitates efficient contract execution, especially in remote or multi-party transactions, by ensuring that all signed copies together form a single, enforceable agreement.
Counterparts; Effect of Signatures. This Amendment may be executed in one or more counterparts (including by facsimile or portable document format (pdf)) for the convenience of the parties hereto, each of which will be deemed an original, but all of which together will constitute one and the same instrument.
