COUNTERPARTS; ELECTRONIC TRANSACTION Clause Samples

The "Counterparts; Electronic Transaction" clause allows a contract to be executed in multiple copies, each of which is considered an original, and permits the use of electronic signatures and digital transmission methods. In practice, this means parties can sign separate physical or electronic copies of the agreement, and these copies together form a single binding contract; signatures may be exchanged via email, fax, or electronic signature platforms. This clause facilitates efficient contract execution, especially when parties are in different locations, and ensures that the agreement is valid and enforceable even when not all parties sign the same physical document.
