Common use of Counterparts; Telecopy Execution Clause in Contracts

Counterparts; Telecopy Execution. This Agreement may be executed in any number of separate counterparts, each of which, when taken together, shall constitute one and the same agreement, admissible into evidence, notwithstanding the fact that all parties have not signed the same counterpart. Delivery of an executed counterpart of this Agreement by telefacsimile shall be equally as effective as delivery of a manually executed counterpart of this Agreement. Any party delivering an executed counterpart of this Agreement by telefacsimile shall also deliver a manually executed counterpart of this Agreement, but the failure to deliver a manually executed counterpart shall not affect the validity, enforceability, and binding affect of this Agreement.

Delivery of an executed counterpart of this Agreement by telefacsimile telecopy or electronic mail shall be equally as effective as delivery of a manually an original executed counterpart of this Agreement. Any party delivering an executed counterpart of this Agreement by telefacsimile telecopy or electronic mail also shall also deliver a manually an original executed counterpart of this Agreement, Agreement but the failure to deliver a manually an original executed counterpart shall not affect the validity, enforceability, and binding affect effect of this Agreement.
