Covenants of the Seller In Connection With Additions. On or before any Purchase Date with respect to any Transferred Loans to be acquired by the Buyer, the Seller shall: (i) note in its files that such Transferred Loans have been sold to the Buyer and deliver to the Buyer a list of such Transferred Loans, identified by account number, which computer file or microfiche list shall be as of such date incorporated into and made a part of this Agreement; and (ii) ensure that all financing statements or other similar instruments or documents necessary under the UCC (or any comparable law) of all appropriate jurisdictions to perfect Buyer's ownership interest in the Transferred Loans have been duly filed.
