Coverage by ERISA. It is the intention of Employer that this Agreement and the Benefits provided under this Agreement be administered as an unfunded pension benefit plan established and maintained for a member of a select group of management or highly compensated employees as described in Section 201(2) of Employee Retirement Income Security Act of 1974 ("ERISA"). The Plan Administrator will comply in all respects with the requirements imposed by ERISA upon such plans.
