Common use of Creation, Form and Terms of Special Warrants Clause in Contracts

Creation, Form and Terms of Special Warrants. (a) The Corporation hereby creates and authorizes for issuance up to 15,614,620 Special Warrants. (b) The Special Warrants shall be executed by the Corporation and Authenticated by, or on behalf of, the Special Warrant Agent upon the written order of the Corporation and delivered by the Special Warrant Agent to the Corporation or to the order of the Corporation in accordance with the written order of the Corporation. (c) Subject to Section 2.12, each Special Warrant shall entitle the holder thereof to acquire, upon deemed exercise thereof, one Unit without the payment of additional consideration and subject to adjustment in accordance with Article 4 hereof; (d) Subject to the provisions hereof, the Special Warrants issued under this Special Warrant Indenture are limited in the aggregate up to 15,614,620 Special Warrants, provided that the number and type of securities to be issued upon deemed exercise of the Special Warrants is subject to increase or decrease so as to give effect to the adjustments as required by Article 4. (e) No fractional Special Warrants shall be issued or otherwise provided for hereunder.
