Subject to the terms and conditions hereof, a voting trust in respect of the Stock (the "Voting Trust") is hereby created and established in accordance with Section 218 of the Delaware General Corporation Law, and the Trustee hereby accepts the trust created hereby and agrees to serve as trustee hereunder.
