Common use of Custodian File Clause in Contracts

Custodian File. Within five (5) Business Days of each proposed Purchase Date, the Originator shall cause to be delivered to the SPV or the Custodian the Custodian Files for the relevant Sold Receivables. Each Custodian File shall be clearly marked with a Contract number, which shall be used by the Originator, the SPV and the Facility Agent to indentify such Contract and the related Pool Receivable. The Originator shall take all actions necessary or reasonably requested by the SPV or the Facility Agent from time to time to ensure that the Custodian File with respect to each Sold Receivable that constitutes a “Pool Receivable”, as defined in the Second Tier Agreement, is accurate and complete in all material respects.
