Common use of Custodian's Fees and Expenses Clause in Contracts

Custodian's Fees and Expenses. The Custodian hereby acknowledges that the Sellers have agreed to pay all fees due and owing to, and except as otherwise provided herein, any expenses incurred by the Custodian associated with the Mortgage Files delivered by each Seller under this Agreement. The fees due to the Custodian for its services hereunder shall be as set forth in a separate agreement between the Custodian and the Sellers. In addition to the fees referred to in the two foregoing sentences, the Sellers have agreed to pay all out-of-pocket expenses incurred by the Custodian in connection with the review of each Mortgage File delivered by each Seller or its agent and the Custodian’s issuance of a Trust Receipt relating thereto. The Financing Party shall not have any liability or obligation to pay any fees or expenses of the Custodian, and the duties of the Custodian hereunder shall be independent of each Seller’s performance of its obligations to the Custodian in respect of such fees.
