Common use of Customer Environment Clause in Contracts

Customer Environment. Iron Mountain shall bear no liability to Customer or any third-party resulting from Customer’s decision not to implement any reasonable change to Customer’s technical environment that supports the Offering that may be advised by Iron Mountain in writing; and Customer shall hold Iron Mountain harmless from and against any suit or proceeding (including reasonable attorneys' fees) brought against Iron Mountain arising directly from such a failure to provide the necessary access and/or support for Iron Mountain to implement any such change. Further, Customer agrees to inform Iron Mountain of any Customer system change that may reasonably be expected to affect Iron Mountain’s ability to provide the Offering.
