CYBER ESSENTIALS SCHEME CONDITION. Where the Authority notifies the Supplier that the award of this Framework Agreement shall be conditional upon receipt of a valid Cyber Essentials Scheme Certificate or equivalent, then on or prior to the execution of the Framework Agreement the Supplier shall deliver to the Authority evidence of a valid Cyber Essentials Scheme Certificate or equivalent. Where the Supplier continues to Process Cyber Essentials Data during the Framework Period or the term of any Call Off Agreement the Supplier shall deliver to the Authority evidence of renewal of a valid Cyber Essentials Scheme Certificate or equivalent on each anniversary of the first Cyber Essentials Scheme Certificate obtained by the Supplier under Clause 9.1. Where the Supplier is due to Process Cyber Essentials Data after the Framework Commencement Date but before the end of the Framework Period or term of the last Call Off Agreement, the Supplier shall deliver to the Authority evidence of: a valid Cyber Essentials Scheme Certificate or equivalent (before the Supplier Processes any such Cyber Essentials Data); and renewal of a valid Cyber Essentials Scheme Certificate or equivalent on each anniversary of the first Cyber Essentials Scheme Certificate obtained by the Supplier under Clause 9.3.1. In the event that the Supplier fails to comply with Clauses 9.2 or 9.3 (as applicable), the Authority reserves the right to terminate this Framework Agreement for material Default.

9.2 Where the Supplier continues to Process Cyber Essentials Scheme Data during the Dynamic Purchasing System Period or the contract period of any Contract the Supplier shall deliver to the Authority evidence of renewal of a valid Cyber Essentials Scheme Basic Certificate on each anniversary of the first applicable certificate obtained by the Supplier under Clause 9.1.
9.3 Where the Supplier is due to Process Cyber Essentials Scheme Data after the commencement date of the first Contract but before the end of the Dynamic Purchasing System Period or contact period of the last Contract, the Supplier shall deliver to the Authority evidence of:
9.3.1 a valid Cyber Essentials Scheme Basic Certificate (before the Supplier Processes any such Cyber Essentials Scheme Data); and
9.3.2 renewal of a valid Cyber Essentials Scheme Basic Certificate on each anniversary of the first Cyber Essentials Scheme certificate obtained by the Supplier under Clause 9.3.1.
9.4 In the event that the Supplier fails to comply with Clauses 9.2 or 9.3 (as applicable), the Authority reserves the right to terminate this Dynamic Purchasing System Agreement for material Default.

9.2 Where the Supplier continues to Process Cyber Essentials Scheme Data during the Panel Agreement Period or the contract period of any Legal Services Contract the Supplier shall deliver to the Authority evidence of renewal of a valid Cyber Essentials Scheme Plus Certificate or equivalent on each anniversary of the first applicable certificate obtained by the Supplier under Clause 9.1.
9.3 Where the Supplier is due to Process Cyber Essentials Scheme Data after the Panel Commencement Date but before the end of the Panel Agreement Period or contact period of the last Legal Services Contract, the Supplier shall deliver to the Authority evidence of:
9.3.1 a valid Cyber Essentials Scheme Plus Certificate or equivalent before the Supplier Processes any such Cyber Essentials Scheme Data; and
9.3.2 renewal of a valid Cyber Essentials Scheme Plus Certificate or equivalent on each anniversary of the first Cyber Essentials Scheme Plus Certificate obtained by the Supplier under Clause 9.3.1.
9.4 In the event that the Supplier fails to comply with Clauses 9.2 or 9.3 (as applicable), the Authority reserves the right to terminate this Panel Agreement for material Default. B. D URATION OF PANEL AGREEMENT AND LEGAL SERVICES CONTRACT P ERIOD
10.1 This Panel Agreement shall take effect on the Panel Commencement Date and shall expire, unless it is terminated earlier in accordance with the terms of this Panel Agreement or otherwise by operation of Law, either
10.1.1 at the end of the Initial Panel Period; or
10.1.2 where the Authority elects to extend the Initial Panel Period in accordance with Clause 10.2 below, at the end of the Extension Period.
10.2 The Authority may extend the duration of this Panel Agreement for twelve (12) Month periods up to a maximum of two (2) years in total from the expiry of the Initial Panel Period by giving the Supplier no less than three (3) Months written notice prior to the relevant Extension Period.

Where the Supplier continues to Process Cyber Essentials Data during the Framework Period or the term of any Call Off Agreement the Supplier shall deliver to the Authority evidence of renewal of a valid Cyber Essentials Scheme Certificate or equivalent on each anniversary of the first Cyber Essentials Scheme Certificate obtained by the Supplier under Clause 9.1. Where the Supplier is due to Process Cyber Essentials Data after the [Framework Commencement Date] [commencement date of the first Call Off Agreement] but before the end of the Framework Period or term of the last Call Off Agreement, the Supplier shall deliver to the Authority evidence of: a valid Cyber Essentials Scheme Certificate or equivalent (before the Supplier Processes any such Cyber Essentials Data); and renewal of a valid Cyber Essentials Scheme Certificate or equivalent on each anniversary of the first Cyber Essentials Scheme Certificate obtained by the Supplier under Clause 9.3.1. In the event that the Supplier fails to comply with Clauses 9.2 or 9.3 (as applicable), the Authority reserves the right to terminate this Framework Agreement for material Default.
CYBER ESSENTIALS SCHEME CONDITION. 5.1 Where the Authority has notified the Supplier that the award of this Contract is conditional upon receipt of a valid Cyber Essentials Scheme Basic Certificate or Cyber Essentials Scheme Plus Certificate or equivalent, then on or prior to the execution of this Contract, as a condition for the award of this Contract, the Supplier shall deliver to the Authority evidence of the same.
5.2 Where the Supplier continues to Process Cyber Essentials Scheme Data during the Contract Period the Supplier shall deliver to the Authority evidence of renewal of a valid Cyber Essentials Scheme Basic Certificate or Cyber Essentials Scheme Plus Certificate or equivalent on each anniversary of the first applicable certificate obtained by the Supplier under Clause 5.1.
5.3 Where the Supplier is due to Process Cyber Essentials Scheme Data after the Commencement Date but before the end of the Contract Period, the Supplier shall deliver to the Authority evidence of:
5.3.1 a valid Cyber Essentials Scheme Basic Certificate or Cyber Essentials Scheme Plus Certificate or equivalent (before the Supplier Processes any such Cyber Essentials Scheme Data); and
5.3.2 renewal of a valid Cyber Essentials Scheme Basic Certificate or Cyber Essentials Scheme Plus Certificate or equivalent on each anniversary of the first Cyber Essentials Scheme certificate obtained by the Supplier under Clause 5.3.1.
5.4 In the event that the Supplier fails to comply with Clauses 5.2 or 5.3 (as applicable), the Authority reserves the right to terminate this Contract for material Default.

9.2 Where the Supplier continues to Process Cyber Essentials Scheme Data during the Panel Agreement Period or the contract period of any Legal Services Contract the Supplier shall deliver to the Authority evidence of renewal of a valid Cyber Essentials Scheme Plus Certificate or equivalent on each anniversary of the first applicable certificate obtained by the Supplier under Clause 9.1.
