Common use of CYPRESS VOLUNTARY TERMINATION Clause in Contracts

CYPRESS VOLUNTARY TERMINATION. (a) CYPRESS may terminate this AGREEMENT at any time and for any reason by giving OREXIGEN written notice at least three (3) months prior to the effective date of such termination. It is understood that CYPRESS shall remain responsible for the timely payment of all amounts due OREXIGEN under this AGREEMENT through the effective date of the termination. (b) CYPRESS may terminate this AGREEMENT at any time by giving written notice to OREXIGEN in the event there is an unfavorable judgment against OREXIGEN or other party relating to the DUKE PATENT RIGHTS at the trial court or the patent office in an interference.
