Common use of Date and Manner of Closing Clause in Contracts

Date and Manner of Closing. The closing of the transaction contemplated by this Agreement (“Closing”) will occur through an escrow with Escrow Agent, no later than 1:00 P.M. on December 14, 2017 (the “Closing Date”) or such earlier as is agreed by the parties. Notwithstanding the foregoing, either party shall have the right to extend the Closing Date in order to obtain the Required Tenant Estoppel Certificates until the earlier to occur of (i) five (5) Business Days after the Required Tenant Estoppel Certificates have been delivered to Purchaser or (ii) thirty (30) days after the originally scheduled Closing Date, by delivering written notice of such extension to the other party on December 13, 2017.
