Common use of Date and Time of Delivery Clause in Contracts

Date and Time of Delivery. Delivery of and payment for the Securities shall be made at the offices of Cravath, Swaine & ▇▇▇▇▇ LLP, ▇▇▇ ▇▇▇▇▇▇ ▇▇▇▇▇▇, ▇▇▇ ▇▇▇▇, ▇▇▇ ▇▇▇▇ ▇▇▇▇▇, or at such other location as may be agreed upon by the Representative and the Company at 10:00 A.M., New York City time, on the eleventh business day following the date of the Terms Agreement, or at such other time and date as shall be agreed upon, or as provided in Section 5.3. This date and time are sometimes referred to as the “Delivery Date.”
