Debts and Liabilities. The Company has no debts, liabilities or obligations, whether accrued, absolute, contingent or otherwise, of a material nature, except for such liabilities and obligations incurred in the ordinary course of business, or incurred in connection with or as a result of the transactions contemplated by this Agreement.
